NeuralSpark Terms.

These terms are the agreement between you and Kaitiaki IT Pty Ltd for NeuralSpark. Please read them before you buy. The important parts are summarised first.

00The short version

The short version

  • You buy a permanent licence for one person to use NeuralSpark on up to two Windows PCs at a time. You don't buy the software itself.
  • Your licence includes updates for the period you chose (3, 6 or 12 months). After that, NeuralSpark keeps working with every release your licence covers.
  • You bring your own AI provider. Their charges are separate and billed by them.
  • AI can be wrong. Check anything important before you rely on it, publish it or send it.
  • NeuralSpark can change files, run commands and act in apps and websites when you allow it. Keep backups.
  • No refunds for change of mind. Your rights under the Australian Consumer Law are not affected.
  • Don't copy, share, resell or crack NeuralSpark.

About these terms

1.1 NeuralSpark is made and sold by Kaitiaki IT Pty Ltd (ACN 697 963 492, ABN 84 697 963 492), Melbourne, Victoria, Australia ("we", "us", "our"). "You" means the person who buys or uses a NeuralSpark licence.

1.2 You accept these terms when you tick the box at checkout, create a NeuralSpark account, install NeuralSpark or activate it. If you don't agree, don't buy or use NeuralSpark.

1.3 These terms work together with our Privacy policy and product details page (neuralspark.com.au/trust.html), which says what information we handle and how.

1.4 If you buy for a business, you confirm you're allowed to accept these terms for it, and the business is bound by them too.

02Your licence

Your licence

2.1 When your payment is confirmed, we give you a permanent, non-exclusive, non-transferable licence to install and use the NeuralSpark releases your licence covers, for one named person, on up to two Windows PCs at a time.

2.2 "Permanent" means your licence doesn't expire. You can keep using the releases it covers for as long as you like, subject to these terms (including the check-ins in clause 4).

2.3 You may use NeuralSpark for personal or business work, including work you're paid for.

2.4 Each person who uses NeuralSpark needs their own licence. A business buys one licence for each person.

2.5 Licences bought before October 2026 keep exactly what they were sold with.

2.6 NeuralSpark is licensed, not sold. We (and our licensors) keep all rights not expressly given to you.

03Updates

Updates

3.1 Your licence includes the updates released during the period you chose: 3, 6 or 12 months from the day your purchase is confirmed.

3.2 You can add 6 or 12 months of updates whenever you like. They start when your current updates end, or on the day you buy if they have already ended, and they include the releases you missed. Nothing renews automatically, and there's no charge for time you skip.

3.3 When your updates end, NeuralSpark keeps working with every release your licence covers. Your account lists the releases you can download. Newer releases need current updates.

3.4 Updates may add, change or remove features. A release you already have keeps working as it is.

04Activation, check-ins and your PCs

Activation, check-ins and your PCs

4.1 NeuralSpark is activated with your NeuralSpark account. It checks your licence with our service when it starts and every six hours, and keeps working for up to seven days without a connection. After seven days offline, connect to the internet so it can check your licence again.

4.2 To move to another PC, deactivate NeuralSpark on the old PC, or remove the old PC in your account. You can remove PCs up to three times in any 30 days.

4.3 A removed PC stops receiving updates and included web search straight away, and stops working once its licence can no longer be refreshed.

4.4 If a payment is refunded, reversed or disputed, the licence it paid for is suspended while that is resolved, and cancelled on every PC if the payment is not completed.

5.1 If we decide to stop providing NeuralSpark's licence service, we'll tell you at least 90 days beforehand, by email and on this website. Before the service stops, we'll make a final release available that runs without check-ins for every licence that is paid and active, so the releases your licence covers keep working.

06What you may not do

What you may not do

6.1 Except where these terms or the law allow it, you must not:

  • (a) copy NeuralSpark, except to install it on your own PCs as these terms allow and to make backup copies the law allows;
  • (b) share, sell, rent, lend, sublicense or transfer NeuralSpark, your licence, your activation or your account;
  • (c) remove, disable, get around or interfere with NeuralSpark's licence checks, integrity checks or other technical protections, or help anyone else do so;
  • (d) decompile, disassemble or reverse engineer NeuralSpark, or try to extract its source code, designs, templates or instructions;
  • (e) remove or change any copyright, trade mark or licence notice;
  • (f) use NeuralSpark, or anything taken from it, to build or train a product or service that competes with NeuralSpark;
  • (g) use NeuralSpark against the law or against clause 6.2.

6.2 Acceptable use. You must not use NeuralSpark to:

  • (a) do anything illegal, or create or share illegal content;
  • (b) access a computer, account, network, website or data you aren't authorised to access, including through Remote computers, the browser, connectors or automations;
  • (c) create or spread malware, or attack, overload or test the security of systems without the owner's permission;
  • (d) send spam or messages people haven't agreed to receive;
  • (e) harass, threaten, defraud or impersonate anyone;
  • (f) collect or use other people's personal information unlawfully;
  • (g) break your AI provider's or any connected service's usage rules.

6.3 Nothing in these terms limits the rights you have under the Copyright Act 1968 that can't be excluded by agreement, including the rights in sections 47B(3), 47C, 47D, 47E and 47F.

07Open-source and third-party software

Open-source and third-party software

7.1 NeuralSpark includes open-source software made by others. Each part is covered by its own licence, listed in NeuralSpark under Settings › About › Third-party notices and at neuralspark.com.au/notices.html.

7.2 Where an open-source licence gives you rights over its part, those rights apply to that part, and nothing in these terms takes them away.

08Your AI providers and other services

Your AI providers and other services

8.1 NeuralSpark doesn't include an AI model or a bundled allowance. You connect your own provider (such as OpenAI, Anthropic, Google, Meta, xAI, NVIDIA, OpenRouter, DeepSeek, or a model on your own computer) with your own account and key.

8.2 Your provider's terms, usage rules, data handling and charges apply to everything sent to it. Their charges are billed by them, not us.

8.3 The same goes for the other services you connect: Google, Microsoft, Git hosts, Slack, Microsoft Teams, Discord, Telegram, connectors and websites. Their terms apply.

8.4 We don't control these services. We aren't responsible for their availability, prices, changes, or what they do with information you send them.

10AI output and your decisions

AI output and your decisions

10.1 NeuralSpark uses the AI provider you choose to answer questions and make things. AI output can be wrong, incomplete, out of date or inappropriate, even when it looks confident and even after NeuralSpark's own checks.

10.2 NeuralSpark isn't financial, tax, legal, medical or other professional advice. Check figures, calculations, tax and GST amounts, legal wording, code and anything else important before you rely on it.

10.3 You're responsible for what you publish, send, submit, sign or run using NeuralSpark's output.

10.4 Output may be similar to what others receive. Before you publish it, make sure it doesn't use other people's work, names, trade marks or likenesses in a way you're not allowed to.

10.5 You must have the right to use the files, pictures and information you give NeuralSpark.

11Actions NeuralSpark takes for you

11.1 You choose how much NeuralSpark may do:

  • Read only: it changes nothing.
  • Can edit files: it changes only your workspace and the folders you open.
  • Full access: commands run with your Windows account's own permissions.
  • On a remote computer, commands run with that computer's account.

11.2 NeuralSpark's browser asks before sending, submitting, paying or deleting. You're responsible for what you approve, and for what runs under the permission level you chose.

11.3 Automations run on their own, on the schedules and triggers you set. You're responsible for what your automations do and send.

11.4 Only connect computers, accounts, folders and services you're authorised to use.

11.5 Rewind and undo help you step back, but they aren't backups. Keep your own backups of important work, especially before using Full access or installing an update.

12Your content and data

Your content and data

12.1 Your files, conversations and what NeuralSpark makes for you are yours, as far as we're concerned. We don't claim ownership of them.

12.2 Your work stays on your PC, except what is sent to your AI provider and the services you connect, and the account and licence information described on our Privacy policy and product details page.

12.3 If you send us ideas or feedback, we may use them freely without any obligation to you.

13Your account

Your account

13.1 Give accurate details, keep your password and activation key private, and tell us if you think someone else has used your account.

13.2 You must be 18 or older to buy a licence or create an account, or have a parent's or guardian's permission.

13.3 You're responsible for your PC's security. We aren't responsible for harm caused by malware or by other people using your PC or account.

14Prices, payment and tax

Prices, payment and tax

14.1 Prices are in Australian dollars. Kaitiaki IT Pty Ltd isn't registered for GST, so no GST is charged. The price you pay is the one shown in your account before you pay.

14.2 Payments are processed by our payment provider; we never see or store your card number. We email you an invoice when your payment is confirmed.

14.3 We may change prices for future purchases. A price change never affects a purchase you've already made.

14.4 An offer applies only while it's shown at checkout, follows the conditions shown with it (for example, one per account), and may end at any time without affecting purchases already made.

15Refunds and the Australian Consumer Law

Refunds and the Australian Consumer Law

15.1 Our goods come with guarantees that cannot be excluded under the Australian Consumer Law. You are entitled to a replacement or refund for a major failure and compensation for any other reasonably foreseeable loss or damage. You are also entitled to have the goods repaired or replaced if the goods fail to be of acceptable quality and the failure does not amount to a major failure.

15.2 For NeuralSpark, this means:

  • If NeuralSpark has a major failure, you can choose a refund or a replacement.
  • If it has a problem that isn't a major failure, we'll fix it within a reasonable time. If we don't, you can ask for a refund.

To make a claim, email hello@neuralspark.com.au with your account email, the NeuralSpark version and what went wrong.

15.3 We don't give refunds for change of mind, for example if you decide NeuralSpark isn't for you, or your AI provider or PC doesn't suit it. Please read what NeuralSpark does and which providers it works with before you buy.

15.4 A refunded licence is cancelled on every PC.

16Our liability

Our liability

16.1 Nothing in these terms excludes, restricts or changes any right or remedy you have under the Australian Consumer Law or any other law that can't be excluded.

16.2 If NeuralSpark isn't of a kind ordinarily bought for personal, domestic or household use, then to the extent section 64A of the Australian Consumer Law allows, our liability for failing to meet a consumer guarantee is limited to supplying the software again or paying the cost of having it supplied again.

16.3 To the extent the law allows, we aren't liable for:

  • (a) loss of profit, revenue, business, data or opportunity, or any indirect or consequential loss;
  • (b) charges from your AI provider or other services;
  • (c) loss caused by actions you approved, automations you set up, permission levels you chose, or output you relied on without checking it;
  • (d) loss caused by services, computers or software we don't control.

16.4 To the extent the law allows, our total liability to you for anything else arising from NeuralSpark is limited to the amount you paid us in the 12 months before the claim.

16.5 Nothing in these terms limits our liability for death or personal injury caused by our negligence, or for our fraud.

16.6 If you use NeuralSpark for a business, you're responsible for claims made against us by others because of your breach of clause 6 or your unlawful use of NeuralSpark.

17Ending your licence

Ending your licence

17.1 You can stop using NeuralSpark at any time and ask us to delete your account (see our Privacy policy and product details page).

17.2 We may suspend or cancel your licence if:

  • you seriously break these terms, for example by cracking or sharing NeuralSpark, or by fraud; or
  • you break them and don't fix it within 14 days of our telling you.

Where it's reasonable, we'll tell you first. If we cancel for your breach, no refund is due except where the law requires one.

17.3 If your licence is cancelled, you must stop using NeuralSpark and remove it from your PCs.

17.4 Clauses 6, 10, 12.3, 15, 16, 19, 20 and 21 continue after your licence ends.

18Changes to these terms

Changes to these terms

18.1 We may update these terms, for example when NeuralSpark gains new features or the law changes. Each version is dated and kept at its own address on this site.

18.2 The version you accepted applies to your purchase. A new version applies to new purchases, and to new releases once you accept it in NeuralSpark.

18.3 A change never takes away something you've already paid for.

20Disputes and the law that applies

20.1 If something goes wrong, please contact us first at hello@neuralspark.com.au, and we'll try to sort it out quickly and fairly.

20.2 These terms are governed by the laws of Victoria, Australia. You and we agree to the jurisdiction of the courts of Victoria. This doesn't stop you contacting a consumer protection agency or tribunal.

21General

General

21.1 These terms and our Privacy policy and product details page are the whole agreement between you and us about NeuralSpark.

21.2 If any part of these terms can't be enforced, the rest still applies.

21.3 If we don't enforce a right straight away, we haven't given it up.

21.4 We may transfer this agreement to a business that takes over NeuralSpark, and we'll tell you if we do. Your rights under these terms won't be reduced by the transfer.
